1. Introduction
Welcome to Cipher Pixel! These Terms and Conditions (the "Terms") govern your use of our website, services, and any agreements entered into with Cipher Pixel. By accessing or using our services, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services. Cipher Pixel reserves the right to modify these Terms at any time without prior notice, and it is your responsibility to review them regularly for any updates. Continued use of our services constitutes your acceptance of the modified Terms.
2. Acceptance of Terms
By engaging with Cipher Pixel, whether by visiting our website, signing a contract, or using our services, you agree to these Terms and Conditions. If you are entering into an agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. Cipher Pixel may, at its sole discretion, refuse to provide services to anyone, for any reason, without explanation or notice.
3. Services Provided
Cipher Pixel offers the following premium services to individuals and organizations seeking cutting-edge digital solutions:
- Custom web application development
- Website design and development
- Mobile app development
- UI/UX design
- Maintenance and support services
- Consulting and project management
All services are subject to availability and will be outlined in a separate Service Agreement or Statement of Work (SOW) prior to project commencement. Cipher Pixel reserves the right to reject any service requests that are inconsistent with its business practices, policies, or capabilities.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate, truthful, and complete information required for project execution. Any misinformation or failure to provide timely details may delay the project timeline.
- Make payments promptly as outlined in the Service Agreement. Failure to make timely payments will result in delays or suspension of services until the outstanding amount is settled.
- Cooperate with Cipher Pixel and provide necessary feedback, approvals, or assets as needed during the project lifecycle. Delay in feedback may result in delays to the project’s progress.
- Ensure that any content, materials, or data provided to Cipher Pixel for use in the project does not infringe on third-party rights, including copyright or intellectual property rights, or violate any applicable laws.
- Maintain confidentiality of all information, including designs and code, until such time that ownership of the final deliverables is transferred after payment in full.
5. Payment Terms
- All fees, payment schedules, and any additional costs will be clearly detailed in the Service Agreement.
- Payments are due within 10 days of the invoice date, unless otherwise agreed upon. If you fail to pay on time, Cipher Pixel reserves the right to charge late fees at a rate of 1.5% per month or the maximum rate allowed by applicable law, whichever is higher.
- Any fees or charges for additional services, changes to the scope of work, or project delays caused by the client will be billed separately.
- Cipher Pixel reserves the right to suspend or terminate services for non-payment or breach of the payment terms outlined in the Service Agreement. Any unpaid amounts will continue to accrue interest until paid in full.
6. Intellectual Property
- All intellectual property (IP), including but not limited to code, designs, concepts, and documentation, created or developed by Cipher Pixel during the course of providing services, will remain the exclusive property of Cipher Pixel until full payment is received. Upon full payment, ownership of the final deliverables will transfer to the client, except for third-party software or components, which remain under their respective licenses.
- Cipher Pixel retains the right to showcase anonymized project details (including designs, code, and project scope) for marketing, portfolio purposes, and case studies, unless otherwise agreed to in writing by the client.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary, sensitive, or confidential information disclosed during the course of the project. This confidentiality obligation shall survive the termination of the agreement.
8. Data Protection and Privacy
Cipher Pixel is fully committed to protecting the privacy and data of its clients. We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We will:
- Process personal data only for the purposes outlined in our Privacy Policy, and will never share or sell client data without express consent.
- Take all reasonable security measures to protect client data from unauthorized access or breaches.
- Notify clients promptly in the event of a data breach that compromises personal data.
9. Project Timelines
- Project timelines will be agreed upon in the Service Agreement. Cipher Pixel will make reasonable efforts to meet agreed-upon deadlines, but cannot guarantee that all deliverables will be completed on specific dates due to unforeseen circumstances.
- Delays caused by the client, including but not limited to late feedback, content delivery, or failure to meet deadlines, may result in adjusted timelines and additional costs.
- Cipher Pixel reserves the right to extend deadlines if unforeseen delays or events occur beyond our control.
10. Revisions and Changes
- Clients are entitled to a specified number of rounds of revisions as outlined in the Service Agreement (usually 3-5 rounds). Any revisions beyond the agreed rounds will incur additional fees.
- Changes to the project scope or additional requests made after the Service Agreement has been signed will be subject to additional charges and may affect the project timeline.
11. Termination
Either party may terminate the agreement with written notice if:
- The other party breaches these Terms and fails to remedy the breach within 15 days of receiving notice.
- The project is no longer feasible due to unforeseen circumstances or events outside Cipher Pixel's control.
Upon termination:
- The client will pay for all work completed up to the termination date, including any services rendered or deliverables provided.
- Cipher Pixel will deliver any completed or partially completed work to the client, subject to any outstanding payments owed.
12. Limitation of Liability
- Cipher Pixel will not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including lost profits, business interruption, or data loss.
- The total liability of Cipher Pixel for any claim related to these Terms or our services will not exceed the total fees paid by the client for the specific project or service at issue.
13. Warranties
- Cipher Pixel warrants that all services will be performed with reasonable skill and care. However, Cipher Pixel does not guarantee that the services will be error-free or uninterrupted.
- Any third-party software or components used in the project are provided "as is" without any warranty, either express or implied.
14. Third-Party Services
Cipher Pixel may use third-party services (e.g., hosting providers, APIs, cloud services) as part of the project. While we strive to select reliable and trustworthy partners, Cipher Pixel is not responsible for the performance, reliability, or security of these third-party services, and we disclaim any liability for issues arising from their use.
15. Force Majeure
Cipher Pixel will not be liable for any failure or delay in performance due to events beyond our control, including but not limited to:
- Natural disasters
- Acts of terrorism or civil unrest
- Government restrictions or regulations
- Internet or utility outages
16. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Amendments
Cipher Pixel reserves the right to update or modify these Terms and Conditions at any time. Clients will be notified of significant changes, and continued use of our services constitutes acceptance of the updated terms.
